Terms of Service

1. Acceptance of Terms

By accessing or using the NUEVAIS™ website, digital platforms, assessments, consultations, services, systems, documentation, or any affiliated materials or communications (collectively, the "Services"), you agree to be legally bound by the following Terms of Service (the "Terms"). If you do not accept these Terms in full, do not access or use any NUEVAIS™ Services.

2. Ownership and Legal Entity

NUEVAIS™ is a proprietary system fully developed, conceptualized, and owned by Natasha Blake as Founder and Owner, with Ngenius Pros as Co-founder, headquartered in California, U.S.A., with international operations.

All materials, systems, processes, trade dress, methodologies, diagrams, protocols, scripts, assessments, digital content, design language, and language architecture are the sole property of Natasha Blake and are protected under U.S. and international copyright, trade secret, contract, and common law.

3. Unauthorized Use Prohibited

Any attempt to:

• Copy, reproduce, replicate, reverse-engineer, decompile, distribute, license, sublicense, imitate, white-label, or market any portion of the NUEVAIS™ name, logo, protocols, site structure, brand language, visuals, patient systems, or treatment frameworks without explicit written and notarized authorization from Ngenius Pros
• Misrepresent or market similar systems under misleading names, or derivative concepts with intent to confuse, profit from, or compete with NUEVAIS™
• Use the NUEVAIS™ system in whole or part to train AI systems or create derivative intellectual property

...will constitute a direct violation of these Terms, trigger immediate legal enforcement and cease-and-desist procedures, and expose the violator to damages, injunctions, and legal relief in both state and federal jurisdictions, including U.S. District Court and international enforcement treaties.

4. Intellectual Property Rights

All content and systems under the NUEVAIS™ brand—including but not limited to the name, diagnostic systems, treatment frameworks, marketing language, logo, media assets, quiz frameworks, educational content, system terminology, PDF designs, scripts, visual assets, proprietary assessments, and patient reports—are owned exclusively by Ngenius Pros and Natasha Blake.

Even if the logo or name is not yet officially registered with the U.S. Patent and Trademark Office, it is protected as common-law trademark and intellectual property from the moment of first use in commerce.

5. System Use and Licensing

Use of the NUEVAIS™ System is restricted to:

• Official NUEVAIS™-approved licensees and clinicians trained and certified by Ngenius Pros
• Internal teams of said licensees using the system within agreed-upon scope
• Patients participating in the program under authorized provider supervision

Any use outside these parameters constitutes a breach of these Terms and will trigger enforcement mechanisms, including license revocation, brand use suspension, and legal recourse.

6. Limitation of Liability

To the fullest extent permitted by law, Ngenius Pros and Natasha Blake shall not be held liable for:

• Indirect, incidental, punitive, or consequential damages
• Any misapplication or unauthorized use of the NUEVAIS™ system by third parties
• Third-party claims related to unauthorized use of branding, trademarks, language, or visual assets
• Patient or user outcomes where NUEVAIS™ was not implemented in its full, authorized form by trained providers

7. Medical Disclaimer

NUEVAIS™ is a clinical reconstruction and diagnostic system intended for use by qualified medical and dental professionals. It is not a replacement for individualized diagnosis, treatment planning, or medical care.

Nothing on the site or within our communications should be construed as personal medical advice.

8. Indemnification

You agree to indemnify and hold harmless Ngenius Pros, Natasha Blake, their affiliates, employees, attorneys, licensors, and contractors from and against any and all liabilities, claims, damages, and expenses, including attorneys' fees, arising from:

• Unauthorized use of the NUEVAIS™ system
• Breach of these Terms
• Misrepresentation or unlawful use of our brand or intellectual property

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the courts of Los Angeles County, California, or the United States District Court for the Central District of California, and you hereby submit to the personal jurisdiction of such courts.

10. Trademark Status

Although the name "NUEVAIS™" and related visual marks may not yet be officially registered with the USPTO or WIPO, they are hereby declared as active common-law trademarks in commercial use as of their first appearance in public domain and use in commerce by Ngenius Pros.

All rights to pursue full legal registration and retroactive protection are retained and in process.

11. Changes to These Terms

Ngenius Pros reserves the right to revise these Terms at any time. Continued use of the Services after updates constitutes agreement to the updated terms.
